Agreement and Business Eligibility

These Terms of Use (“Terms”) are an agreement between ItsaYes Labs, LLC (“ShopTruth,” “we,” “us,” or “our”) and the U.S. business you represent (“Customer,” “you,” or “your”). By creating an account or using ShopTruth, you confirm that you are at least 18 years old and authorized to bind that business to these Terms. Our Privacy Policy explains how we handle information.

Closed Alpha Service

ShopTruth is an invite-only, free closed-alpha service for internal business evaluation. The alpha has no service-level agreement, may be incomplete, and may change, pause, or end. We will provide reasonable support through contact@shoptruth.app, but do not promise a response or resolution time. We will not charge you without separate notice and acceptance of applicable commercial terms.

Accounts and Security

You must provide accurate account information, keep credentials confidential, limit access to authorized personnel, and promptly notify us of suspected compromise. You are responsible for activity performed through your account to the extent caused by your acts or omissions. You may not share an individual account or authentication code outside your authorized business team.

TikTok Connections and Third-Party Services

You may connect only a TikTok Shop or TikTok Business account that you are authorized to administer. Connection occurs through TikTok OAuth and is limited to the scopes TikTok displays and you grant. You may revoke those scopes or disconnect at any time. You remain responsible for maintaining your TikTok account in good standing and complying with TikTok's terms, developer policies, and seller obligations.

TikTok and other third-party services are independent of ShopTruth. Their APIs and data may be delayed, incomplete, revised, unavailable, restricted, or revoked. ShopTruth is not affiliated with, endorsed by, or sponsored by TikTok, and TikTok does not sponsor or approve ShopTruth.

Customer Data and Authorization

As between you and ShopTruth, you retain your rights in data you provide or authorize ShopTruth to access (“Customer Data”). During the term, you grant ShopTruth a limited, non-exclusive, worldwide right to host, copy, transmit, transform, and otherwise process Customer Data only as necessary to provide, secure, support, and comply with legal or TikTok requirements relating to ShopTruth. This license ends when Customer Data is deleted under the Privacy Policy, subject to lawful retention and backup periods.

Permitted Use and Restrictions

ShopTruth grants Customer a limited, revocable, non-transferable right to use the alpha for its internal commercial analytics. You may not:

• connect a shop or account without the owner's authorization;
• share credentials, OAuth tokens, or access codes with an unauthorized person;
• scrape, overload, disrupt, or circumvent ShopTruth, TikTok APIs, scopes, rate limits, or security controls;
• reverse engineer the service except where applicable law expressly permits it;
• introduce malware, commit fraud, or use ShopTruth for an unlawful or rights-infringing purpose;
• attempt to re-identify buyers from minimized or aggregated data;
• sell, resell, sublicense, publish, or transfer TikTok data or ShopTruth access; or
• use ShopTruth in a way that violates TikTok's applicable terms or policies.

Analytics and Professional Judgment

ShopTruth calculations depend on Customer inputs and third-party data that may be delayed, incomplete, revised, or unavailable. You must verify important figures against authoritative TikTok, bank, accounting, and business records before making a decision. ShopTruth does not provide accounting, tax, legal, investment, or financial advice.

ShopTruth Ownership and Feedback

ShopTruth and its licensors own the service, software, methods, documentation, and branding, excluding Customer Data. If you voluntarily provide feedback, you grant us a non-exclusive, perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your confidential information. Feedback does not transfer ownership of Customer Data or other Customer intellectual property.

Confidentiality

Each party will use reasonable care to protect the other party's non-public business, technical, and security information and will use it only for this relationship. These obligations do not cover information that was lawfully known without restriction, becomes public without breach, is independently developed, or is lawfully received from another source. A party may disclose information when legally required after giving notice where permitted.

Suspension, Disconnection, and Termination

You may stop using ShopTruth, disconnect TikTok, or request account deletion at any time. We may suspend or terminate access to address a security incident, loss of authorization, suspected misuse, a material breach, a TikTok requirement, or a legal obligation. We will give reasonable notice where practicable. Disconnection and deletion follow the timelines in the Privacy Policy.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CLOSED ALPHA IS PROVIDED “AS IS” AND “AS AVAILABLE.” SHOPTRUTH DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR THIRD-PARTY DATA WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, CURRENT, SECURE, OR ACCURATE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS CUSTOMER PAID SHOPTRUTH DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. DURING THE FREE ALPHA, THE CAP IS US $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED.

Indemnification

Customer will defend and indemnify ShopTruth against third-party claims, damages, and reasonable costs arising from Customer's unlawful or unauthorized use of the service, lack of authority to connect an account, infringement of a third party's rights, or material violation of applicable TikTok terms or policies. This obligation does not apply to the extent a claim is caused by ShopTruth's breach of these Terms or unlawful conduct.

Changes to the Service or Terms

We may change the alpha or these Terms. We will post an updated date and provide reasonable notice of material changes where practicable. Continued use after the effective date of updated Terms constitutes acceptance, but a material expansion of paid obligations will require separate notice and acceptance.

Governing Law and Disputes

Delaware law governs these Terms without regard to conflict-of-law principles. Before filing a claim, each party will send written notice describing the dispute and attempt in good faith to resolve it informally for 30 days. If unresolved, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

General

Electronic notices and signatures are valid. You may not use the service in violation of export-control or sanctions laws. Neither party may assign these Terms without the other's consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement for the closed alpha, and headings are for convenience only.
